Terms of Service

Welcome to AreYouOK, a safety application designed to help users maintain their well-being through daily check-ins and emergency contact notifications. These Terms of Service ("Terms") govern your access to and use of the AreYouOK mobile application, website, and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

AreYouOK is a safety application that provides the following core features:

• Daily Safety Check-ins: Users can perform daily check-ins to indicate they are safe and well.
• Emergency Contact Notification: If a user fails to check in within a specified period, the application will notify their designated emergency contacts.
• Streak Tracking: The application tracks consecutive days of successful check-ins.
• Emergency Contact Management: Users can add, edit, and remove emergency contacts who will be notified in case of a missed check-in.

To use the Service, you must meet the following eligibility requirements:

1. You must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher.
2. You must have the legal capacity to enter into binding contracts.
3. You must not be prohibited from receiving the Service under applicable laws.
4. If you are using the Service on behalf of a minor or someone who requires supervision, you accept full responsibility for their use of the Service.

By using the Service, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate your access if we determine you do not meet these requirements.

4.1 Account Creation

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4.3 Account Termination by User

You may terminate your account at any time by contacting us or delete the application. Upon termination, your right to use the Service will immediately cease.

4.4 Account Suspension or Termination by AreYouOK

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

5.1 Nature of Service

AreYouOK is designed as a supplemental safety tool, not as a primary emergency response system. The Service relies on user-initiated check-ins and may not be appropriate for individuals with certain medical conditions or safety concerns.

5.2 Emergency Contact Notification

When you designate emergency contacts and fail to check in as scheduled, the Service will send notifications to those contacts. You are solely responsible for:

• Obtaining consent from your emergency contacts before adding them to the Service
• Ensuring contact information for emergency contacts is accurate and current
• Informing your emergency contacts about their role and what to expect

5.3 Limitations of Emergency Features

You acknowledge and agree that:

• AreYouOK cannot guarantee that emergency contacts will receive or respond to notifications
• Technical issues, connectivity problems, or device failures may prevent notifications from being sent or received
• AreYouOK is not responsible for the actions or inactions of your emergency contacts

As a user of the Service, you agree to:

1. Use the Service only for lawful purposes and in accordance with these Terms
2. Provide accurate and complete information when setting up your account and emergency contacts
3. Perform check-ins honestly and not misuse the check-in system
4. Respect the privacy and consent of your emergency contacts
5. Maintain the security of your account credentials
6. Notify your emergency contacts that they may receive notifications from the Service
7. Not use the Service to harass, threaten, or cause distress to others
8. Not attempt to circumvent or interfere with the security or functionality of the Service

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law
• Harassing, abusing, or harming another person through use of the Service
• Adding emergency contacts without their knowledge and consent
• Providing false or misleading information in your account or check-ins
• Attempting to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service
• Taking any action that imposes an unreasonable load on our infrastructure
• Uploading or transmitting viruses, worms, or any other malicious code
• Using any automated system, including "robots," "spiders," "offline readers," etc., to access the Service
• Collecting or harvesting any personally identifiable information from the Service
• Using the Service for any commercial solicitation purposes

8.1 Our Intellectual Property

The Service and its original content, features, and functionality are owned by AreYouOK Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download and install a copy of the application on a mobile device that you own or control, and to run that copy solely for your personal, non-commercial use.

8.3 Restrictions

You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices
• Use the Service or any content for any commercial purpose without our express written consent

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AREYOUOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AREYOUOK DOES NOT WARRANT THAT:

• THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS
• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE
• ANY ERRORS IN THE SERVICE WILL BE CORRECTED

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AREYOUOK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

1. YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE
2. ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
3. ANY CONTENT OBTAINED FROM THE SERVICE
4. UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN NO EVENT SHALL AREYOUOK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE SERVICE DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

You agree to defend, indemnify, and hold harmless AreYouOK and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

1. Your use of and access to the Service
2. Your violation of any term of these Terms
3. Your violation of any third-party right, including without limitation any right of privacy or intellectual property rights
4. Any claim that your content caused damage to a third party
5. Your violation of any applicable law, rule, or regulation

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or use the account deletion feature.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

We encourage you to review these Terms periodically for any changes. Changes to these Terms are effective when they are posted on this page.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

If you are a consumer residing in the European Union, you may benefit from any mandatory provisions of the law of the country in which you are resident.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
